The client agrees to:

Supply necessary content (text, images, data) in a timely manner.
Review and approve project stages promptly to avoid delays.
Comply with applicable laws regarding the content published on their website.
All prices are listed in USD.
A deposit may be required before work begins.
Full payment is due upon project completion unless otherwise agreed.
Payments are accepted through approved methods only (as stated in invoices).
Late payments may result in delays, service suspension, or additional fees.
Refunds are handled according to our Refund Policy.

Upon full payment:
The client owns the final website, design, and associated content.
Intercode Labs retains the right to display non-confidential parts of the project in its portfolio or marketing materials.
All underlying source code, frameworks, and proprietary tools remain the property of Intercode Labs, unless otherwise agreed in writing.
Both parties agree to keep all confidential information private and not disclose it to third parties without prior consent.
Intercode Labs is not liable for:
Any indirect, incidental, or consequential damages.
Loss of profits, data, or business resulting from the use or inability to use our services.
Website downtime, technical errors, or security breaches caused by third-party hosting or software.
Our total liability shall not exceed the total amount paid by the client for the specific project.
We may use third-party services (such as hosting, APIs, or plugins) to complete your project.
We are not responsible for failures or issues caused by those external providers.
Either party may terminate the project with written notice.
In such cases, the client will be billed for all completed work and any non-refundable expenses incurred.
We reserve the right to update or modify these Terms at any time.
The latest version will always be available on this page with the updated date.
These Terms shall be governed by and interpreted under the laws of the State of Kentucky, United States, without regard to its conflict of law principles.
